Share Transfer Procedure

Below is a list of the items Counsel's Chambers Limited requires in order to process a Share Transfer.

• The original Share Certificate (script).
• A form of Transfer, duly executed and signed by both parties (the transferee needs to be a person or corporation eligible to hold shares pursuant to Article 6 of CCL's Constitution). Share transfers executed after 1 July 2016 do not need to be stamped by the Stamp Duties Office.
• A letter from the Floor Secretary approving the new floor member (if applicable).

If shares are being transferred to a Company, a standard Deed between Counsel's Chambers Limited and the Company in question must be duly executed (must not be amended). If it is proposed that the shares are to be transferred to a self-managed superannuation fund, advice should be obtained.

The Transfer of Shares form needs to be completed in the event of a sale of shares. It needs to be signed by both parties. If shares are in a company name, the form should be sealed with the company seal.

The Transfer of Shares form needs to be completed in the event of a sale of shares. It needs to be signed by both parties. If shares are in a company name, the form should be sealed with the company seal.

Lost Share Certificate Procedure:

In order for a replacement share certificate to be issued we require the following:

• A Statutory Declaration.
• A letter to the Directors of Counsel’s Chambers Limited stating that the share certificate has been lost.
• An advertisement to be placed in the Sydney Morning Herald, a copy of which must be forwarded to this office.

Precedents for all the above are attached below. On receipt of the above, pending Board approval, a new share certificate will be issued. Counsel’s Chambers Limited does not charge for the reissuing of a share certificate.

Direct Debit Form:

The direct debit form needs to be completed in order for maintenance contributions to be automatically debited from the shareholders account on the first working day of the month. It needs to be filled in by the shareholder and returned to the Office of Counsel's Chambers Limited.

Credit Card Form

The credit card form needs to be completed in order for maintenance contributions to be paid by credit card on the first working day of the month. It needs to be filled in by the shareholder and returned to the Office of Counsel's Chambers Limited.

Please note: all credit card payments will incur a fee to cover processing costs: 1.75% for VISA and MasterCard’s and 1.93% for AMEX.

Below is an example of a floor approval letter which Counsel's Chambers requires from any new shareholders that are registering a share transfer.

Counsel's Chambers Limited has been a member of the Qantas Club Corporate Membership for some years. This allows us to pass on discounted Qantas Club Memberships to our Shareholders, their partners and staff.

The discounted rates available to members if they join our scheme are as follows:

Joining Fee for CCL Qantas Club Members = $247.38
(Normal joining Fee = $399.00)

1 Year Subscription for CCL Members = $442.80
(Normal subscription cost for 1 year = $540.00)

2 Year Subscription for CCL Members = $803.60
(Normal subscription cost for 2 years = $980.00)

It is also possible, in order to achieve these discounted rates, to transfer from your individual membership or from another corporate membership. If you would like to transfer from another scheme please email dgeorge@counselschambers.com.au your membership number and renewal date and we will email you back this information. If you chose to join under these circumstances you would not be required to pay another joining fee.

If you would like to join please complete the Qantas Club Application and return the application form to our office at Level 1 Selborne Chambers, with a cheque made out to Qantas Club or complete the credit card payment details on page 2 of the form. It should be noted that the rates on the application form are not valid as we have been able to negotiate lower rates for our members. All new members and renewals must be processed through Counsel's Chambers Limited.

Please note that memberships will not commence until applications are processed by Qantas, earlier applications can be processed but you will need to contact us if you require your application to be processed urgently.

If you are already a member of this scheme, renewals will be sent out in October each year, you do not need to do anything. Rates are subject to change.
